User Agreement
Welcome to the CollegeZapps™ Web site (this "Site") provided by Efficient College Applications, LLC (d/b/a CollegeZapps) ("CollegeZapps," "us" or "we"). The following User Agreement ("User Agreement") governs your access to and use of this Site and the information, data, applications, materials and other content available on or through this Site ("Site Materials"). Please read this User Agreement carefully before using this Site or any Site Materials. We reserve the right, at our sole discretion, to change this User Agreement and/or the Site (including without limitation revisions to fees or discontinuance of any features) from time to time. Your continued use of this Site or any Site Materials after such changes take effect will be deemed to constitute your acceptance of and agreement to the new User Agreement.

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE SELECTING THE 'I AGREE' BUTTON ASSOCIATED WITH THIS USER AGREEMENT OR BY ACCESSING, USING OR BROWSING THIS SITE, ANY SITE MATERIALS OR THE SERVICES PROVIDED THROUGH THIS SITE. BY CLICKING ON "I AGREE," OR BY ACCESSING, USING OR BROWSING THIS SITE, ANY SITE MATERIALS OR THE SERVICES PROVIDED THROUGH THIS SITE, YOU ACKNOWLEDGE THAT: (1) YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS AND CONDITIONS OF THIS USER AGREEMENT; (2) YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS USER AGREEMENT AND ACKNOWLEDGE THAT THIS USER AGREEMENT IS THE LEGAL EQUIVALENT OF A SIGNED, WRITTEN CONTRACT BETWEEN YOU AND COLLEGEZAPPS; AND (3) YOU ARE AT LEAST 18 YEARS OLD (NOTE:  IF YOU ARE NOT AT LEAST 18 YEARS OLD, THEN YOU MUST HAVE YOUR PARENT OR LEGAL GUARDIAN ENTER INTO THIS AGREEMENT.) IF YOU ARE NOT WILLING TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, INCLUDING WITHOUT LIMITATION THE PRECEDING ACKNOWLEDGEMENT AND AGREEMENT, SELECT THE 'I DECLINE' BUTTON AT THE END OF THIS USER AGREEMENT, IN WHICH CASE COLLEGEZAPPS DOES NOT AND WILL NOT GRANT YOU ANY RIGHT OR LICENSE TO ACCESS, USE OR BROWSE THIS SITE, THE SITE MATERIALS OR THE SERVICES PROVIDED THROUGH THIS SITE.

1.               Nature of Service and Limited License.  CollegeZapps is a fast and easy solution for college-bound students facing the competitive, lengthy and burdensome college application process. Offering a single, customized, online questionnaire, CollegeZapps collects the appropriate student data from you and then populates the application(s) from one or more schools that you select (the "Service").  Except as expressly permitted by us in writing, you agree that your license to access and use this Service is limited solely to your personal, non-commercial use in applying to a university, college or other school (each a "School") and you may not use the Service for resale or part of a services-offering to anyone else.

2.               Not an Endorsement.   CollegeZapps is not a referral service and does not recommend or endorse any particular School. Rather, CollegeZapps is only an intermediary that facilitates the school application process. We do not offer advice regarding the quality or suitability of any particular School.

3.               Proprietary Rights.   As between yourself and CollegeZapps, all right, title and interest in and to the Site, Site Materials and Service, and all intellectual property rights embodied therein, are the property of CollegeZapps or its licensors, suppliers or affiliates.  Furthermore, the college applications are contained in databases ("Databases") that constitute valuable proprietary compilations owned by CollegeZapps. The Site, Site Materials, Services and the Databases are protected by law, including but not limited to U.S. and international copyright law and trademark law, as well as other state, federal and international laws and regulations. CollegeZapps does not claim any rights in the individual college application forms themselves.

The "CollegeZapps" name and logo are the property of CollegeZapps and may not be reproduced in any manner without our prior written permission. CollegeZapps and CollegeZapps.com™ are trademarks of CollegeZapps and may not be used in any manner without the prior written permission of CollegeZapps. Other names and logos contained in this Site are trademarks and service marks of third parties and may not be used without the permission of the trademark or service mark owner.

Except as provided in this User Agreement, we do not grant you any rights under any copyrights, trademarks, trade secrets or other proprietary rights. Accordingly, unauthorized use or reproduction of any Site Materials might violate copyright laws, trademark laws, trade secret laws or other laws or regulations. Please be aware that we actively and aggressively enforce our intellectual property rights to the fullest extent of the law.

4.               Use of the Services (including the Site, Site Materials and Databases).  Unless otherwise specified on the Site, you may download the various forms accessible through the Site pursuant to the following terms and conditions. You must retain all copyright and other proprietary notices on downloaded and copied Site Materials and/or School applications, and any such downloads or copies are subject to the terms and conditions of this User Agreement.  You may not download, reproduce, modify, distribute or otherwise use any of the Site Materials and/or School applications except as expressly authorized herein.

Except as expressly permitted herein, you agree that you will not, directly or indirectly, use the Services, Site, Site Materials or Databases for any purposes other than your personal, non-commercial activities in applying to a School. Without limiting the foregoing, you agree that you will not, directly or indirectly, use the Site, Site Materials, Databases or Services:  (i) for commercial purposes, including without limitation as part of a services-offering, (ii) to establish independent data files or compendiums of statistical information; or (iii) in violation of any applicable laws or regulations.   While using the Services, Site, Site Materials and/or Databases, you agree not to:

§                     Restrict or inhibit any other visitor, user or member from using the Site, including without limitation by means of "hacking" or defacing any portion of the Site;

§                     Express or imply that any statements you make are endorsed by us without our prior written consent;

§                     Transmit (a) any content or information that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable, or infringes our or any third party's intellectual property or other rights; (b) any material, non-public information about companies without the authorization to do so; (c) any trade secret of any third party; or (d) any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or other unsolicited commercial communication (except as otherwise expressly permitted by us);

§                     Engage in spamming or flooding;

§                     Transmit any software or other materials that contain any viruses, worms, trojan horses, defects, date bombs, time bombs or other items of a destructive nature;

§                     Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Site, Site Materials or Databases;

§                     Remove any copyright, trademark or other proprietary rights notices contained in the Site, Site Materials or Databases;

§                     "Frame" or "mirror" any part of the Site without our prior written authorization;

§                     Link to any page of or content on the Site other than the URL located at http://www.collegezapps.com;

§                     Use any robot, spider, site search/retrieval application or other manual or automatic device or process to retrieve, index, "data mine" or in any way reproduce or circumvent the navigational structure or presentation of the Site or its contents; or

§                     Harvest or collect information about Site visitors or members without their express consent.

5.               Registration, Password Maintenance and Responsibility.  By registering, you represent, warrant and covenant that: (i) you are at least 18 years of age (remember, if you are not at least 18 years old, then you must have your parent or legal guardian enter into this Agreement); (ii) you are using your actual identity; (iii) you have provided only true, accurate, current and complete information about yourself during the registration process; and (iv) you will maintain and promptly update the information that you provide to keep it true, accurate, current and complete.  We require that you choose a password during your registration process.  By logging onto this Site using a password, you represent, warrant and covenant that:  (i) you are authorized to use such password; and (ii) you are authorized to conduct the activities you are conducting on the Site. You are solely responsible for the confidentiality and use of your password, as well as for any activities conducted on or through this Site using your password. If you wish to cancel a password, or if you become aware of any loss, theft or unauthorized use of a password, then please notify us immediately. Please note that we reserve the right to delete or change any password at any time and for any reason.

6.               Term and Termination.  This User Agreement will take effect at the time you click "I Agree" or access, use or browse this Site, any Site Materials or the Services. This Agreement shall remain effective until terminated in accordance with this Section 6. Either party may terminate this Agreement immediately upon providing notice to the other party. In addition, we may immediately terminate this Agreement, and/or your access to and use of the Site or any portion thereof, at any time and for any reason, with or without cause. Upon termination of this Agreement by either party, your right to use the Site, any Site Materials and the Services shall immediately cease.  Furthermore, we may, at any time and for any reason, without notice to you, change, remove or discontinue any of the Site Materials or Services available on or through this Site.

7.               Our Privacy Policy.  We consider the protection of our users' personal information to be important. Therefore, we have adopted a Privacy Policy outlining our personal information collection and use practices. Please refer to it for details about how we collect and use personal information from users of this Site.

8.               Links to Other Sites.  This Site may contain links to other sites on the World Wide Web for the convenience of our users. These other sites have not been reviewed by us and are maintained by third parties over which we exercise no control. Accordingly, we expressly disclaim any responsibility for the content of these other sites and for the availability, accuracy, reliability, completeness, currency, quality, performance or suitability of the information, products and services available or advertised on or through these other sites. Moreover, these links do not imply, directly or indirectly, our endorsement of or affiliation with any other site or site owner, or any information, products or services provided by any third party. When leaving this Site, you should be aware that our terms and policies may no longer govern, and, therefore, you should review the applicable terms and policies of each linked site.

9.               Confidentiality and Security Issues.  Use of the Internet is solely at your own risk and is subject to all applicable local, state, federal and international laws and regulations. While we have endeavored to create a secure and reliable site, please be advised that the confidentiality of any communication or material transmitted to us over the Internet cannot be guaranteed. Consequently, neither we nor our affiliates are responsible for the security of any information transmitted via the Internet, the accuracy of the information contained on this Site, or for the consequences of any reliance on such information. 10.           Submissions and Postings.  By sending or transmitting to us suggestions, ideas, notes, concepts, information or other materials (collectively, "Submissions"), or by posting such Submissions to any area of the Site, you grant us and our designees a fully paid-up, royalty-free, perpetual, irrevocable, worldwide, sub-licenseable (through multiple tiers) and assignable right and license to reproduce, create derivative works of, distribute (through multiple tiers), publicly perform, publicly display, digitally perform, make, have made, use, sell, offer for sale and import such Submissions in any media now known or hereafter developed, for any purpose whatsoever, without compensation. None of the Submissions will be subject to any obligation, whether of confidentiality, attribution or otherwise, on our part and we will not be liable for any use or disclosure of any Submissions.

11.           Claims of Copyright Infringement.  If in good faith you think that any Site Materials infringe your copyright, then please send us a notice at to CollegeZapps, 10394 W. 12.           Disclaimers.  THE SITE, THE SITE MATERIALS AND THE SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, COLLEGEZAPPS AND ITS AFFILIATES, LICENSORS, SUPPLIERS, ADVERTISERS, SPONSORS AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. 13.           Limitations of Liability.  IN NO EVENT WILL COLLEGEZAPPS, ITS AFFILIATES, LICENSORS, SUPPLIERS, ADVERTISERS OR SPONSORS (AND THE DIRECTORS, OFFICERS, EMPLOYEES, CONSULTANTS, AGENTS OR OTHER REPRESENTATIVES OF ANY OF THE PRECEDING) BE LIABLE FOR (I) ANY USER'S APPLICATION, ADMISSION, ACCEPTANCE OR REJECTION STATUS WITH ANY SCHOOL, OR (II) ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR OTHER DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF BUSINESS, LOSS OF DATA OR LOST PROFITS), UNDER ANY THEORY – CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER – ARISING OUT OF OR RELATING IN ANY WAY TO THE SITE, SITE MATERIALS AND/OR SERVICES, ANY LINKED SITE OR ANY PRODUCT OR SERVICE PURCHASED THROUGH THIS SITE. 15.           Miscellaneous.  This Agreement is governed by and construed in accordance with the laws of the State of Colorado, United States of America, without regard to its principles of conflicts of law. You agree to submit to the exclusive jurisdiction of any State or Federal court located in Denver County, Colorado, United States of America, and waive any jurisdictional, venue or inconvenient forum objections to such courts. If any provision of this Agreement is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire User Agreement between us relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral Agreements between us with respect to such subject matter. This User Agreement is not assignable, transferable or sub-licenseable by you except with CollegeZapps prior written consent. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained in this Agreement is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.
